The Partner with Diagva Tech Solutions vendor program allows certified component manufacturers, franchised distributors, authorized stockists, and vetted electronics importers (“Vendor”, “Seller”, or “Partner”) to publish, showcase, and distribute electronic components, integrated circuits (ICs), motherboard replacement spares, and SMT consumables through Diagva Tech Solutions Private Limited (“Company”, “Diagva Tech Solutions”, “Platform”) B2B marketplace (www.diagvatechcomponents.com). This policy defines eligibility benchmarks, quality control criteria, product listing rules, fulfilment obligations, and commercial settlement terms.

2. Vendor Eligibility & Mandatory KYC Onboarding

Diagva Tech caters to mission-critical electronics manufacturing (EMS), OEM assembly, and advanced chip-level rework facilities. To preserve ecosystem credibility, all prospective vendors must clear our Know-Your-Customer (KYC) audit by submitting:

  • Legal & Statutory Proof: Certificate of Incorporation / Business Registration, active Goods and Services Tax Identification Number (GSTIN), Permanent Account Number (PAN), and active MSME registration (if applicable).
  • Authorization & Channel Lineage: Franchised distribution agreements, Original Component Manufacturer (OCM) authorization letters, or verifiable proof of authorized procurement channels.
  • Corporate Banking Details: Cancelled corporate cheque or official bank verification letter in the legal name of the registering business entity.
  • Quality Compliance Declaration: Written commitment to adhere strictly to Diagva Tech’s anti-counterfeit protocols and ANSI/ESD S20.20 storage practices.

3. Product Listing Standards & Catalog Guidelines

Vendors publishing catalog lines or inventory feeds on www.diagvatechcomponents.com must ensure 100% technical fidelity. Product listings must include:

  • Accurate Technical Taxonomy: Exact Manufacturer Part Number (MPN), full suffix codes, brand name, and package/footprint format (e.g., QFN-28, SOIC-8 208mil, SOT-23-5).
  • Real-Time Stock Availability: Real-time stock quantities. Phantom listings, misleading MOQ counts, or artificial lead-time inflation will result in immediate listing deactivation.
  • Date Code & Lot Provenance: Clear lot/date code disclosures (e.g., DC 2023+). Any refurbished, pull-out, or legacy parts must be explicitly designated and approved in writing prior to publishing.

4. Zero-Tolerance Anti-Counterfeit Guarantee

The electronic component market faces significant risks from remarked and counterfeit devices. Diagva Tech maintains zero tolerance for counterfeit or misrepresented parts:

  • Absolute Authenticity Warranty: The Vendor unconditionally guarantees that all published parts are 100% genuine, new, and compliant with original manufacturer datasheet parameters.
  • Independent Quality Audits: Diagva Tech reserves the right to conduct random destructive and non-destructive testing (microscopic marking analysis, pin decapsulation, X-ray inspection) on inventory prior to dispatch.
  • Penalties for Non-Compliance: If a Vendor supplies counterfeit, remarked, or substandard components, their seller account will be immediately terminated, all pending payouts frozen, and the entity permanently blacklisted across our network. The Vendor shall fully indemnify Diagva Tech and its downstream clients against all financial damages and legal repercussions.

Critical: Mandatory Packaging & ESD Compliance

Vendors must ensure all components are shipped in ANSI/ESD S20.20-compliant packaging (ESD shielding bags, anti-static tubes, or sealed tape/reel).

Moisture-sensitive devices (MSL 2–6) must be vacuum-sealed with desiccant and active Humidity Indicator Cards (HIC). Damaged or non-ESD compliant shipments will be rejected upon arrival.

5. Fulfillment Models & Service Level Agreements (SLA)

Vendors can choose between two operational fulfillment architectures:

  • Model A: Fulfilled by Diagva Tech (FBD) — Recommended: Vendor pre-ships stock to Diagva Tech’s centralized fulfillment hub on Bannerghatta Road, Bengaluru. Diagva Tech handles quality verification, ESD repacking, invoice consolidation, and nationwide express shipping.
  • Model B: Direct Vendor Fulfillment (DVF): Upon receiving an order notification, the Vendor packs the consignment using approved ESD materials within 24 to 48 hours. Diagva Tech arranges courier pickup or the Vendor dispatches via approved integrated couriers with real-time AWB generation.
  • Dispatch SLA: Vendors must maintain an Order Fulfillment Rate (OFR) of 98% or higher. Orders delayed beyond 48 hours without prior justification are subject to an order cancellation fee.

6. Commercial Terms, Fees & Payout Cycles

  • Marketplace Commission: Diagva Tech charges a standardized platform facilitation commission (ranging from 3% to 8%, depending on product classification and fulfillment model), deducted directly from the net product value.
  • Rolling Payout Schedule: Vendor earnings are disbursed via NEFT/RTGS on a 7-day or 14-day rolling cycle following recorded delivery to the buyer, allowing for the expiration of the buyer’s 7-day inspection and verification window.
  • Statutory Deductions (TCS / GST): All marketplace commissions are subject to applicable GST. Diagva Tech complies with Tax Deducted at Source (TDS) and Tax Collected at Source (TCS) mandates under Indian GST regulations.

7. Returns, Quality Claims & RMA Allocations

In the event of an authorized customer claim (due to part number mismatch, pin non-conformance, or transit damage under DVF):

  • RMA Response Time: The Vendor must acknowledge Return Merchandise Authorization (RMA) requests within 2 business days.
  • Reversal Costs: Where product defect or mismatch is verified, the Vendor shall bear the cost of reverse freight and provide an immediate replacement lot or agree to a full debit note deduction.

8. Governing Law & Vendor Support Desk

This policy is governed by the substantive laws of India, with exclusive legal jurisdiction in the courts of Bengaluru, Karnataka.
