1. Agreement & Acceptance of Terms
These Terms of Service ('Terms', 'Agreement') constitute a legally binding commercial agreement between Diagva Tech Solutions Private Limited. ('Company', 'we', 'us', or 'our') and any commercial business entity, enterprise, laboratory, or authorized representative ('Buyer', 'Customer', 'User', or 'you') accessing www.diagvatechcomponents.com or procuring electronic components, integrated circuits, motherboard spares, and global sourcing services from the Company. By accessing the website, uploading a Bill of Materials (BOM), requesting a quotation, or issuing a Purchase Order (PO), you expressly agree to be bound by these Terms.
2. Commercial B2B Scope & User Representation
Diagva Tech Solutions Private Limited. operates strictly on a Business-to-Business (B2B) wholesale and trade distribution model. By executing a transaction or registering an account, the Buyer warrants and represents that:
- Commercial Intent: All purchases are made solely for commercial use, including printed circuit board assembly (PCBA), chip-level electronic diagnostics and rework, manufacturing (OEM/EMS), or authorized sub-distribution.
- Statutory Registration: The buyer possesses a valid registered business entity, Goods and Services Tax Identification Number (GSTIN), or corporate trade license.
- Exclusion of Consumer Law: Transactions executed under these Terms are exempt from consumer protection regulations governing retail end-user household transactions.
3. Quotations, Pricing & Order Acceptance
Given the high volatility of international semiconductor spot markets, currency valuations, and global freight tariffs, quotations and purchase orders are governed by the following rules:
- Quotation Validity: Formal quotations issued by the Company are valid for a duration of 3 to 7 business days as specified on the quotation sheet. The Company reserves the right to adjust unaccepted pricing in the event of major market allocation shifts or currency fluctuations.
- Order Confirmation: A formal sales contract is formed only when the Company issues a written Order Confirmation or Proforma Invoice (PI) against the Buyer's verified Purchase Order.
- NCNR Sourcing Terms: Components sourced from international semiconductor distributors, factory allocations, or specialized MOQ reel runs are designated Non-Cancellable and Non-Returnable (NCNR).
4. Intellectual Property & Portal Use
All software architecture, logos, technical catalogs, line cards, graphics, and website interface design on www.diagvatechcomponents.com are the exclusive intellectual property of Diagva Tech Solutions Private Limited. Third-party semiconductor brand names (including Texas Instruments, Renesas, Winbond, Murata, etc.) and manufacturer part numbers (MPNs) are displayed solely for identification, compatibility reference, and technical cross-referencing purposes.
Confidentiality of Client Technical Data
All proprietary Bill of Materials (BOM), hardware schematics, and engineering files uploaded by clients remain the exclusive intellectual and commercial property of the Buyer.
The Company agrees to maintain strict commercial confidentiality and shall not disclose client BOM architectures to third parties or unauthorized trade competitors.
5. Component Quality, Inspection & Limited Warranty
The Company adheres to rigorous incoming inspection and ESD packaging standards to supply genuine electronic components. Commercial warranty terms are defined as follows:
- Form, Fit & Function Warranty: Components are warranted to conform to original manufacturer datasheet electrical and physical specifications at the time of delivery.
- Pre-Assembly Verification Window: The Buyer agrees to perform visual inspection, pin coplanarity audits, and pre-mounting verification within 7 business days of delivery. In the event of confirmed functional defects, the Company's sole liability shall be the replacement of the non-conforming parts or the issuance of a commercial Credit Note.
- Voidance Due to Processing: The warranty is entirely void if components have been subjected to soldering flux, solder paste reflow, hot-air micro-soldering, PCB mounting, lead trimming, electrical overloading, or improper ESD handling by the Buyer.
6. Limitation of Liability
To the fullest extent permitted by law, Diagva Tech Solutions Private Limited. shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of business profits, factory production downtime, labor rework costs, board scrap charges, or third-party claims arising out of the supply, failure, or delay of components. In all circumstances, the total aggregate liability of the Company shall not exceed the invoice purchase price paid by the Buyer for the specific lot of components giving rise to the claim.
7. Force Majeure
Neither party shall be held liable for failure or delay in fulfilling delivery obligations due to causes beyond reasonable control, including but not limited to acts of God, global semiconductor allocation embargoes, civil unrest, export/import trade restrictions, port closures, customs inspection hold-ups, severe weather disruptions, or widespread logistics strikes.
8. Governing Law & Jurisdiction
These Terms and any related commercial disputes shall be interpreted and governed in accordance with the substantive laws of the Republic of India. The parties agree to resolve disputes amicably through good-faith commercial negotiation. In the event of unresolved disputes, the courts situated in Bengaluru, Karnataka, India shall have exclusive legal jurisdiction.
